Please read these Terms carefully before using Convexly. By accessing or using the platform, you agree to be bound by these Terms.

1. Overview and Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Convexly, a U.S.-based financial analytics and educational platform that provides financial data, analytics, research tools, and educational content. By accessing or using Convexly, you agree to be legally bound by these Terms.

If you do not agree to these Terms in their entirety, you must immediately discontinue use of the platform. These Terms constitute a legally binding agreement between you and Convexly.

2. User Eligibility

You must be at least 18 years of age and capable of entering into a legally binding agreement under the laws of your jurisdiction to use Convexly.

By accessing or using the platform, you represent and warrant that you meet these eligibility requirements. If you are accessing the platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Educational and Informational Purposes Only

Convexly is provided solely for educational and informational purposes. All content, data, analytics, research tools, indicators, signals, scores, charts, screeners, and model outputs are general in nature and do not take into account any individual user's financial situation, investment objectives, risk tolerance, or personal circumstances.

Nothing on Convexly constitutes, or should be interpreted as, financial, investment, legal, or tax advice. The platform is intended to support informed research and education — not to replace professional financial judgment.

4. No Investment Advice or Professional Relationship

Convexly is not a registered investment adviser, broker-dealer, financial planner, fiduciary, or any other type of licensed financial professional under applicable federal or state securities laws.

No data, signal, indicator, analytics output, chart, score, model result, or content on this platform constitutes a recommendation, solicitation, endorsement, or advice to buy, sell, hold, or otherwise transact in any security, asset, financial instrument, or investment product.

Use of Convexly does not create any advisory, fiduciary, brokerage, custodial, or other professional relationship between you and Convexly. All investment and financial decisions are made solely at your own discretion and risk.

Users should not rely on any information, data, analytics, or tools provided by Convexly as the sole basis for making investment decisions. Convexly is one potential input in a broader research process and should be used accordingly.

Convexly is under no obligation to update, correct, or revise any information, data, analytics, scores, or outputs displayed on the platform, and assumes no duty to do so.

The inclusion, display, ranking, screening, or analysis of any security, asset, or financial instrument on the platform does not constitute an endorsement, recommendation, or opinion regarding that security or asset by Convexly.

Convexly does not provide personalized investment recommendations and does not consider any individual user's financial circumstances, objectives, or suitability when generating or displaying content, analytics, or outputs.

5. User Accounts

If you create an account on Convexly, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree to provide accurate, current, and complete information when creating your account and to keep that information up to date. You must notify Convexly promptly if you become aware of any unauthorized use of your account or any other security breach.

Convexly is not liable for any loss or damage arising from your failure to maintain the security of your account credentials.

6. Acceptable Use

You agree to use Convexly only for lawful purposes and in compliance with all applicable laws and regulations. You may not use the platform in any way that violates these Terms or that could harm Convexly, its users, or third parties.

Prohibited activities include, but are not limited to: (a) scraping, copying, crawling, or harvesting any content or data from the platform by automated or manual means without express written permission; (b) reverse engineering, decompiling, or otherwise attempting to extract the platform's source code, models, or proprietary methodologies; (c) interfering with or disrupting the integrity or performance of the platform or its infrastructure; (d) attempting to gain unauthorized access to any system, account, data, or network component of Convexly; and (e) using the platform for any unlawful, fraudulent, or harmful purpose.

7. Data Sources and Accuracy

Convexly aggregates data from third-party providers, including but not limited to the Federal Reserve Economic Data (FRED), Yahoo Finance, and other public market data sources. Convexly does not control these sources and is not responsible for the content, availability, or accuracy of data obtained from them.

Data displayed on the platform may be delayed, interrupted, incomplete, revised, or contain errors. Convexly makes no representation or warranty regarding the completeness, accuracy, reliability, timeliness, or fitness for any particular purpose of any data, analytics, or calculations provided on the platform.

Users should independently verify all information before relying on it for any purpose, including investment or financial decisions.

8. Intellectual Property

All content, software, data models, analytical frameworks, branding, trademarks, trade dress, visual design, and materials on Convexly are owned by or licensed to Convexly and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the platform for personal, non-commercial purposes only. You may not copy, reproduce, distribute, modify, create derivative works from, sell, sublicense, or otherwise commercially exploit any part of the platform or its content without Convexly's prior written permission.

9. No Warranties — "As Is" and "As Available"

Convexly and all platform content, data, analytics, tools, and features are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied.

Convexly expressly disclaims all implied warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, and uninterrupted or error-free availability.

Convexly does not warrant that the platform will meet your requirements, that access will be uninterrupted or error-free, or that any defects will be corrected. Your use of the platform is entirely at your own risk.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Convexly, its affiliates, officers, directors, employees, contractors, licensors, and partners shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or in connection with your access to or use of the platform, or your inability to access or use it.

This limitation applies to all claims, including but not limited to investment losses, trading losses, lost profits, lost revenue, lost business opportunities, financial damages, loss of data, or damages resulting from reliance on any information or content provided through Convexly — regardless of the theory of liability and even if Convexly has been advised of the possibility of such damages.

In jurisdictions that do not allow the exclusion of certain types of liability, Convexly's liability is limited to the greatest extent permitted by law.

11. User Responsibility and Professional Consultation

You are solely responsible for evaluating the suitability of any information, tool, analysis, or content provided by Convexly for your own financial circumstances and investment objectives.

Before making any investment, financial, legal, or tax decision, you are strongly encouraged to consult with a qualified and licensed financial adviser, attorney, accountant, or other appropriate professional who can assess your individual situation.

All investments involve risk. You may lose some or all of your invested capital. Financial markets are inherently volatile and unpredictable, and no analytical tool, model, or platform can reliably predict future market behavior.

Historical data, model outputs, hypothetical performance, simulated results, backtested strategies, and statistical indicators presented on Convexly have inherent limitations. They are prepared with the benefit of hindsight, do not reflect actual trading conditions, and do not account for real-world constraints such as liquidity, transaction costs, taxes, slippage, or behavioral factors. None of these outputs guarantee actual future performance or trading outcomes.

12. Platform Changes and Discontinuation

Convexly reserves the right to modify, suspend, or permanently discontinue any features, data sources, analytics, indicators, calculations, pricing, or content at any time and without prior notice.

Convexly is not obligated to maintain any particular feature, data integration, or level of service. We are not liable to you or any third party for any modification, suspension, or discontinuation of the platform or any part of it.

13. Termination

Convexly reserves the right, at its sole discretion, to suspend or terminate your access to the platform at any time and for any reason, including but not limited to violations of these Terms or misuse of the platform.

Upon termination, your right to access and use the platform will immediately cease. All provisions of these Terms that by their nature should survive termination — including intellectual property rights, disclaimer of warranties, limitation of liability, indemnification, and governing law — shall survive.

14. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Convexly and its affiliates, officers, directors, employees, contractors, licensors, and partners from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

(a) your access to or use of the platform; (b) your misuse of the platform or any content, data, or analytics obtained through it; (c) your violation of these Terms or any applicable law or regulation; or (d) your violation of any right of any third party, including but not limited to intellectual property rights, privacy rights, or contractual rights.

Convexly reserves the right, at its own expense, to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with Convexly's defense of that matter.

15. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Subject to the Dispute Resolution section below, you agree that any legal action or proceeding arising out of or relating to these Terms or your use of the platform shall be brought exclusively in the state or federal courts located in the State of Delaware, and you irrevocably consent to personal jurisdiction and venue in such courts.

16. Dispute Resolution

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or your use of Convexly that cannot be resolved informally shall be resolved by binding individual arbitration administered under the rules of the American Arbitration Association (AAA) in effect at the time, rather than in court. The arbitration shall take place in the State of Delaware or, at your election, by video conference or telephone. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Waiver of Jury Trial: TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND FINDECK EACH WAIVE THE RIGHT TO A JURY TRIAL WITH RESPECT TO ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM.

Class Action Waiver: You and Convexly agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, collective, or representative action. You waive any right to participate in any class action or representative proceeding. If this waiver is found unenforceable, the arbitration provision above shall not apply, and any disputes shall be resolved in court in accordance with the Governing Law section.

Informal Resolution: Before initiating arbitration, you agree to first attempt to resolve any dispute informally by contacting Convexly at contact@findeck.io. Convexly will attempt to resolve the dispute within 30 days of receiving your notice.

17. Updates to These Terms

Convexly may update or revise these Terms at any time. Changes will be reflected on this page with an updated effective date. Continued use of the platform following any changes constitutes your acceptance of the updated Terms.

You are responsible for reviewing these Terms periodically. If you do not agree with any updated Terms, you must discontinue use of the platform.
